Directors Duties Agreement

A director is not responsible for the actions of co-directors solely because of his position, but when he participates in the act. 9.2 Any dispute between the parties regarding this Agreement shall be settled initially between the parties by an amicable solution. If such a solution cannot be found, the dispute is decided by the courts of INSERT COURTS. If the managers breach the fiduciary duty, they are obliged to replace the company with the loss resulting from their breaches. In addition, they are required to report to the company for any profit derived from the infringement – the company is not required to prove a loss in this case, since the liability is strict. A well-developed service agreement for directors includes: an officer, who is also an employee, has two roles: one as a senior manager and the other as a senior manager (director) of the company. For a director to be an employee, there must be an additional legal agreement between the two parties, which involves obligations on both sides. . . .
